Terms of Service – RapidLEI

Introduction

RapidLEI.com (“RapidLEI”) is an online service owned and managed by Ubisecure Oy (“Ubisecure”) (LEI number 529900T8BM49AURSDO55). Ubisecure is a global provider of Digital Identity products and solutions for Government and enterprise, see our website for further details: www.ubisecure.com.

Ubisecure is accredited by the Global LEI Foundation (GLEIF) as a Local Operating Unit (LOU), or more commonly referred to as an LEI Issuer. The role of LEI Issuers is to operate in the Global LEI System (GLEIS) to process and maintain LEI registrations, renewals, transfers and associated Legal Entity Reference Data (LE-RD). Accredited LEI Issuers  operate under a comprehensive framework centred around the Master Agreement between the LEI Issuer and the GLEIF as published at https://www.gleif.org/en/about-lei/the-lifecycle-of-a-lei-issuer/gleif-accreditation-of-lei-issuers/required-documents. The Master Agreement sets out the rights and obligations of GLEIF and of the LEI Issuer regarding the LEI Issuer’s participation in the GLEIS, as such forms a basis for the terms and obligations of all parties involved in providing, obtaining, using, or relying on LEIs.

As an accredited LEI Issuer, Ubisecure provides a set of services more fully described on the RapidLEI website, see www.rapidlei.com.

These Terms of Service govern your use of the RapidLEI Legal Entity Identifier management system, LEI search services, APIs and website(s) (together the “Service”) and constitute a legally binding contract between you and Ubisecure, and its Affiliates (collectively, “Ubisecure”). You understand that by using any or all of the Service, you agree to be bound by these Terms of Service. You and Ubisecure may each also be referred to individually as a “Party” or together as the “Parties.”

You must read, agree with and accept all of the Terms of Service contained within this document to utilise and rely on the Service. If you agree to these Terms of Service on behalf of a Legal Entity (LE), you represent and warrant that you have the authority to bind that LE to these Terms of Service. In such event, “you” and “your” will refer and apply to that LE. If you do not have the legal authority to bind the LE, you are not authorised to use the Service and should not accept the terms of this agreement.

 

Your Privacy

Protecting your privacy in line with the privacy by design principles of GDPR (General Data Protection Regulation) is our top priority. By using the Service you will need to provide one or more personal or business emails and names in order for Ubisecure to meet its obligations as a GLEIF-accredited LEI Issuer. Ubisecure complies with Article 6(1) point (a) of regulation (EU) 2016/679 and may store and process this information (provided as part of the necessary registration process to obtain an account and deliver the Service).

In some cases, Ubisecure may use external machine translation services. Although known PII is not machine translated, sometimes it is not possible to determine what is PII until it is translated.

Email addresses provided may be used to communicate with you to deliver the Service, deliver critical notices and relevant communications, including delivery of LEI codes and LEI renewal notices that may start within 60 days of upcoming LEI expiration.

In order to meet the obligations of GLEIF Master Agreement, Chapter IV B, Appendix 2 Section H and Appendix 14 Paragraph 6, which governs GLEIF accredited LEI Issuers, the minimum data set to be collected by the LEI Issuer (“LOU-Record”) includes:

  1. Full name and email address of the LEI Contract Manager (the contact point within the initiating organization);
  2. Full name and email address of the LEI Requestor (contact point of the person placing the order);
  3. Full name and email address of the Authorised Representative.

PII within the LOU-Record is not made publicly available and used only for the purposes of meeting the requirements to deliver the Service. Where such PII is mandated to be shared with the GLEIF, it is done so under a legitimate interest basis as specified in Article 6 (1) point (f) of GDPR for LEI issuance and migration (business continuity) purposes.

Irrespective of whether you register an LEI directly through RapidLEI or via a RapidLEI affiliate or Registration Agent (RA) or your LEI is imported to RapidLEI, the LOU-Record will be maintained by Ubisecure and shared with the GLEIF as necessary to meet Master Agreement obligations and ensure business continuity within the GLEIS. The LOU-Records are unconditionally and at all times available to the LEI Issuer, to GLEIF, and, if necessary, to any third-party auditors appointed by the LEI Issuer or GLEIF as obligated under the terms of the Master Agreement.

Where data is shared with GLEIF, GLEIF acts as a separate Data Controller for any PII that they are processing under this basis. Currently the PII included in the LOU-Record includes the full name and email address of the LEI Contract Manager (the contact point from time to time within the initiating organization), the LEI Requestor (contact point from time to time of the person placing the order) and the Authorised Representative (the legal signatory of the initiating organisation, or the individual empowered from time to time by the initiating organisation should delegation of authority be evidenced).

Ubisecure and GLEIF are not Joint Data Controllers. Therefore, please contact GLEIF directly if you wish to exercise any of your rights under GDPR regarding this processing.

In the event of an import of any LEI from another LEI Issuer, you permit Ubisecure as the Receiving LEI Issuer to forward your contact information, for you, as the Authorised Representative of the Legal Entity, to the other Sending LEI Issuer and furthermore, permit the Sending LEI Issuer to pass on this information to the Sending LEI Issuer’s existing contact for the Legal Entity owning the LEI to be imported.

Excluding the above, Ubisecure will not disclose the name of your organisation, or the names, addresses, telephone numbers, email addresses, or other personal identifying information without prior written consent.

Individual online usage patterns will not be disclosed to either advertisers or to third parties. Ubisecure does not process or store your credit card information on any of its servers, instead, this information is managed by our payment gateway provider Stripe (www.stripe.com) and Taxamo (www.taxamo.com) for VAT/GST purposes and invoice creation. Billing address details will be required from you during payment and will be recorded on invoices.

You have access to the data we store about you within the ‘My Settings’ section of the application and the right to rectify any inaccuracy.

In line with Article 17(1) point (a) of regulation (EU) 2016/679, accounts created on RapidLEI may be erased at any time prior to payment of fees or the successful issuance of an LEI. By using this service, you are agreeing that Ubisecure will store all necessary documentary evidence required and obligated in its performance as a GLEIF-accredited LEI Issuer. The Global Legal Entity Identifier System (GLEIS) requires an archive of all data records for up to 15 years from the point of issuance of an LEI as a mandatory requirement between Ubisecure and the GLEIF (as specified within a Master Agreement signed by the two entities). Concerned parties may use pseudonymisation of email addresses as a basis for account creation so long as it does not affect Ubisecure’s ability to deliver the Service.

If you order any goods or services via an affiliate of Ubisecure, you hereby consent to Ubisecure contacting that affiliate or that affiliate contacting Ubisecure for the purposes of confirming the details of the order (including confirming your identity, the LOU-Record, the details of the order).

This Privacy Policy does not apply to any other web sites, products, or services or to information collected in any other way (whether offline or online) by Ubisecure.

If for any reason you need to object to this policy on privacy, then please email [email protected] from the email address you have registered with us.

 

Your Obligations

You agree that in order to use the Service you will need to provide relevant data in order for Ubisecure to be able to validate the authenticity of your LEI application, your right to request an LEI on behalf of the applicant organisation, and to verify the contents to be added into the Legal Entity Reference Data (LE-RD). You are therefore obligated:

  1. to supply true, full and authentic company information to meet the requirements of the LE-RD record;
  2. to review the LE-RD at least once annually, to verify its accuracy;
  3. to promptly submit any changes regarding any aspect having an actual or potential influence on the LEI and/or LE-RD;
  4. to attest that you have the necessary authority from the LE, which may require provision of a Letter of Authority (power of attorney) or other proof that we, at our absolute discretion, require;
  5. to make payments when they fall due for the revalidation and renewal of the LEI in line with the appropriate fee schedule;
  6. depending on your entity structure and the purpose of the LEI, to provide additional supporting documentation, including but not limited to direct/ultimate parent information, head office information, fund relationship(s).

Awareness

Through your understanding of these Terms of Service you are aware that:

  1. only one single LEI may be requested for your LE, i.e. you are prohibited to request a second LEI through Ubisecure or any other LEI Issuer;
  2. Ubisecure may be required by mandatory law or per internal LEI Issuer controls to change LE-RD;
  3. the issuance of an LEI, and its yearly renewal, is subject to requirements established by the GLEIF;
  4. that GLEIF reserves the right to request the transfer of the LEI to another LEI Issuer;
  5. that under the terms of this policy, you may request the transfer of your LEI to another LEI Issuer at any time. If you do, no refund of fees already invoiced and paid will be made to you by Ubisecure;
  6. that you expressly allow all necessary data to be made public to comply with the requirements of the LEI CDF and RR file formats. In doing so you are aware that all rights to publish the data are fully and irrevocably transferred (or, if not legally possible, irrevocably licensed) to Ubisecure, with the sole exception of the protective rights of the LE in its legal name.

A general requirement that any information provided, or requests made to Ubisecure must be submitted by the LE’s authorised signatories and duly dated and signed.

Account Registration

The Service may require you to register for a password-protected account. You represent and warrant that all the information you provide to Ubisecure is true, accurate and complete, and that you have legal right to use the e-mail address(es) you provide. You agree to keep your information current by updating your account information. You agree to maintain the confidentiality of your password and account. You are responsible for all activities that occur under your account.

Fees

Fees to register new LEIs or renew LEIs are displayed during the application process or on the associated rapidlei.com webpages. Applicants may select single year or multi-year LEIs. In the case of multi-year LEIs, payment is made in advance for up to 5 years and RapidLEI will process the annual renewal for the period purchased without additional fees.

Transferring an LEI to a different LEI Issuer is free of charge.

Payment of your RapidLEI account balance is due in advance and must be made by the credit or debit card you designate or via other means if agreed with the company.

Refund Policy

Refunds may be requested prior to the issuance of an LEI.  No refunds will be made post issuance and publication in the GLEIS system unless agreed otherwise with the company. Specifically, no refunds will be given for LEIs transferred out from RapidLEI should time be remaining on either single year or multi-year contracts.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM UBISECURE, OR THROUGH OR FROM THE UBISECURE WEB SITE OR SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

Account Cancellation

If your account is paid-in-full and you have no ACTIVE or LAPSED LEIs, then in line with GDPR you can erase your account and terminate this Agreement. After transferring any LEIs from the account, Ubisecure recommends printing or copying any important documents including invoices as you will lose access to the LEI audit history, notifications, messages or other content contained in your account after erasure. Ubisecure reserves the right to terminate access to any account that violates the terms of this Agreement.

 

Term and termination

The term of these Terms of Service commences upon the date you access and/or use the Service and continues as long as the LE and the RapidLEI service exist, whichever is shorter, until termination.

You may terminate these Terms of Service by discontinuing your use of the Service at any time with notice. You agree that Ubisecure may in its absolute discretion terminate or suspend your use of and access to all or part of the Service in the event of:-

  1. a transfer of the LEI to an alternative LEI Issuer or to the GLEIF is successfully executed,
  2. Ubisecure becomes aware that the legal status of the LE associated with the issued LEI has been abandoned by the LE,
  3. Ubisecure is unable to renew the LEI due to non-compliance of the LE with requirements of the GLEIF during re-validation.

In all cases you agree that Ubisecure shall not be liable to you or to any third party for any termination or suspension of all or part of the Service.

You agree that Ubisecure may in its absolute discretion terminate or suspend your use of and access to all or part of the Service immediately and without notice at any time in the event of:-

  1. a severe or repeated violation of contractual duties outlined within these Terms of Service, for which no cure is possible, or cure has been refused despite a reasonable cure period,
  2. termination of the Master Agreement between Ubisecure and the GLEIF.

In both cases you agree that Ubisecure shall not be liable to you or to any third party for the immediate termination or suspension of all or part of the Service.

 

Cookies

Cookies are small text files that are placed by websites that you visit. They are widely used to make websites work, or work more efficiently, as well as to provide information to the owners of the site. As a responsible Service Provider, RapidLEI informs visitors that our website places cookies in your computer web browser in following scenarios:

Login Cookie: On successfully login, we place a cookie containing your email address in your browser to enable us to recognise you the next time you visit the website. This improves your experience of the service by eliminating the need for you to re-enter your email address at login time

Session Cookie: This cookie is used to maintain your session on RapidLEI, allowing you to access different pages without logging in each time.

The above cookies are required for RapidLEI to operate, and you will not be able to use the site if you refuse to accept these cookies. Please note that RapidLEI does not store advertising cookies of any type.

 

Security

Ubisecure is committed to security. We use secured datacentres with redundant power and Internet connectivity. Ubisecure employs industry standard encryption methods to prevent unauthorized access to account information stored on our servers. RapidLEI adheres to the highest industry standards for security for acquired data, with strict controls around where is it processed, stored, transformed and archived for audit purposes. Ubisecure Oy is GLEIF Accredited, and its Information Security Management System is ISO 27001 certified. The software development environment is ISO 9001:2015 certified. Your Representations

Entire Agreement

This agreement constitutes the entire, complete and exclusive agreement between you and Ubisecure in respect of your use of the Service. This agreement supersedes all prior and contemporaneous agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms of Service. In the event of a conflict between this agreement and any other agreement between us in relation to the subject matter of this agreement and your use of the Service, the terms of this agreement shall prevail;  in the event of a conflict between this agreement and any other agreement between us in relation to any matter which is not the subject matter of this agreement and your use of the Service, the terms of this agreement shall be subordinate to the terms of the other relevant agreement.

Amendments to Terms of Service

You are responsible for reviewing the current version of the Terms of Service periodically. Ubisecure may modify this Agreement by (a) posting a revised Terms of Service on the RapidLEI website, or (b) sending information regarding the amendment to the email address you provided at Registration. Continued use of the Service will be deemed acceptance of the amended Agreement. You can determine when these Terms of Service were last revised by referring to the “Last Updated” legend at the bottom of these Terms of Service. In addition, you shall be subject to any guidelines, rules or policies applicable to the Service posted by Ubisecure from time to time, which are hereby incorporated by this reference. This includes the provision to annually review its fee schedule, and unilaterally determine new fees, which you acknowledge may be affected by changes to annual fees imposed by the GLEIF on all LEI Issuers.

Ubisecure may provide you with notices, including those regarding changes to these Terms of Service, by posting such notices through one or more mediums or forums located on the RapidLEI website. These notices are considered part of the Service. Contractual language will be observed for any formal notices and unless stipulated otherwise, all communications will be in English.

Proper Use

You agree to comply with the terms and conditions of this Agreement and with all applicable local, state, national and international laws and regulations and all Internet regulations, policies and procedures, including all export and other laws regarding the transmission of technical data exported from any country through the Service. You agree that you will not use the Service for illegal purposes, cause disruption to the Service, bypass any measures Ubisecure may use to prevent or restrict access to the Service, or to distribute content that violates the privacy, intellectual property or other proprietary rights of any third party, or for purposes that Ubisecure reasonably determines to be unlawful, obscene, defamatory, harassing, fraudulent, abusive, threatening, harmful, vulgar, or otherwise objectionable.

Ubisecure may cooperate with legal authorities and/or third parties in the investigation of any suspected or alleged crime or civil wrongdoing. Ubisecure reserves the right at all times to disclose any information (including, PII) as Ubisecure deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Ubisecure’s sole discretion.

Age

You represent and warrant that you are at least 18 years of age (or, as applicable, the age of majority in the state or province in which you reside), and that you possess the legal right and ability to enter into this Agreement.

Communication

You agree that the official time for all transactions using the Service will be the timestamps recorded by the Service’s servers. You also agree that all electronic communications or notices sent to the e-mail address you provide to Ubisecure, placed in your account, or posted on the Web Site will be considered “in writing” and received within five (5) business days of its dissemination. Ubisecure disclaims all responsibility for all failures in communication caused by failures of third parties to properly process or deliver Ubisecure’s electronic communications.

 

Ubisecure’s Rights

Maintenance

The Service will occasionally be unavailable during system maintenance and upgrades. Ubisecure scheduled maintenance will usually take place on the second and fourth Saturday of every month between 7am-10pm GMT. Ubisecure will make commercially reasonable efforts to ensure that the Service will be available during this period. However, Ubisecure disclaims all responsibility for any interruptions or problems with the Service caused by external forces affecting the reliability of the Internet or computer systems.

Intellectual Property Rights

You acknowledge and agree that Ubisecure owns all right, title and interest in the Service and the web site, including, without limitation, all intellectual property rights. You acknowledge and agree that the Service and the website contain proprietary and confidential information and trade secrets including, but not limited to text, graphics, logos, images, software, and icons, that are protected by Finland and international intellectual property laws and applicable laws.

Ubisecure retains all right, title and interest to the words “Ubisecure”, “RapidLEI”, and any word, phrase or logo incorporating the foregoing (collectively, the “Ubisecure Marks”). You agree not to display or use Ubisecure Marks in any manner without Ubisecure’s prior written permission.

 

General Provisions

Severability and Waiver

You agree that the terms of these Terms of Service are severable. If a court of competent jurisdiction declares any term or provision in this Agreement invalid or unenforceable in whole or in part, you and Ubisecure nevertheless agree that the court should construe that term or provision consistent with applicable law as nearly as possible to reflect the parties’ original intentions, and that the remaining terms and provisions remain in full force and effect. Failure by Ubisecure to exercise or enforce any provision of this Agreement shall not constitute a waiver of any such provision.

No waiver of any provision of these Terms of Service shall be effective unless it is in writing and signed by an authorised representative of Ubisecure. The remedies of Ubisecure under these Terms of Service shall be cumulative and not alternative, and the election of one remedy for a breach shall not preclude pursuit of other remedies. The failure of a Party, at any time or from time to time, to require performance of any obligations of the other Party hereunder shall not affect its right to enforce any provision of these Terms of Service at a subsequent time, and the waiver of any rights arising out of any breach shall not be construed as a waiver of any rights arising out of any prior or subsequent breach.

Governing Law

These Terms of Service are governed by the laws of Finland. No choice of law rules or any jurisdiction shall apply. Any dispute, controversy or claim arising out of or relating to the Agreement, or the breach, termination or validity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The seat of arbitration shall be Helsinki, Finland.

You agree that you will use the Service in compliance with these Terms of Service and all applicable local, state, national and international laws, rules and regulations, including any laws regarding the transmission of technical and personally identifiable information.

Taxes

Any taxes, duties, fees and other governmental charges of any kind (including sales, services, use and value-added taxes, but excluding taxes based on the gross revenues or net income of Ubisecure) which may be imposed by or under the authority of any government or any political subdivision thereof on you related to the Services or your use of the Service shall be borne by you.

Indemnity

You agree to release, indemnify, defend and hold harmless Ubisecure and its officers,  directors, shareholders, contractors, agents, employees, licensors and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorneys’ fees, made by any third party due to or arising out of or in connection with your breach or alleged of these Terms of Service and your use of the Service. Ubisecure reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Ubisecure in asserting any available defences.

Limitation of Liability

EXCEPT IN JURISDICTIONS WHERE SUCH PROVISIONS ARE RESTRICTED, YOU EXPRESSLY UNDERSTAND AND AGREE THAT UBISECURE AND ITS OFFICERS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS AND SUPPLIERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH UBISECURE HAS BEEN ADVISED OF THE POSSIBILITY THEREOF), AND INCLUDING DAMAGES RESULTING FROM: (i) ANY TRANSACTION SENT THROUGH THE SERVICE WHERE UBISECURE WAS NOT A DIRECT PARTY; (ii) THE USE OR INABILITY TO USE THE SERVICE, INCLUDING ERRORS, INTERRUPTIONS OR DELAYS; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF THE STATUS OF YOUR LEI; OR (iv) ANY OTHER MATTER RELATING TO THE SERVICE. UBISECURE’S LIABILITY SHALL NOT EXCEED, IN THE AGGREGATE, A SUM EQUAL TO THE AMOUNT OF FEES (IF ANY) PAID FOR USING THE SERVICE UNDER THIS AGREEMENT.

Disclaimer of Warranty

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. UBISECURE PROVIDES THE SERVICE ON AN “AS IS” AND “AS AVAILABLE” BASIS. UBISECURE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

UBISECURE DOES NOT WARRANT AND EXPRESSLY DISCLAIMS THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, RELIABLE, TIMELY, SECURE, ERROR-FREE OR FREE OF VIRUSES AND OTHER HARMFUL COMPONENTS, (iii) ANY ERRORS ON THE UBISECURE WEB SITE OR SERVICE WILL BE CORRECTED; (iv) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF YOUR USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; AND (v) THAT LEI DETAILS THAT YOU STORE VIA THE SERVICE WILL REMAIN ACCESSIBLE.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR SOLE DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM UBISECURE, OR THROUGH OR FROM THE UBISECURE WEB SITE OR SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

Force Majeure

Ubisecure shall not be liable for any cessation, interruption or delay in the performance of its obligations hereunder (excluding payment obligations) due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, employment strike, lockout, boycott or other events beyond the reasonable control of Ubisecure.

 

Definitions

 “Affiliate” means, with respect to each Party, any entity which directly or indirectly controls, is controlled by, or is under common control with, such Party.

“Feedback” means any feedback, comments, questions, suggestions and ideas regarding the Service that you may provide to Ubisecure through any medium or forum including, but not limited to, online forums, e-mail, telephone, online and/or live surveys and questionnaires.

“GLEIF” or “Global Legal Entity Identifier Foundation” is a foundation based in Basal in Switzerland tasked to support the LEI system. Please see https://www.gleif.org

“GLEIS” or “Global Legal Entity Identifier System” refers to the overall LEI system and all participants. Please see https://www.gleif.org/en/lei-system/gleif-management-of-the-global-lei-system

“LE” or “Legal Entity” means the entity which has registered with an LEI Issuer and is associated with a particular LEI.

“LOU” or “LEI Issuer” is the Local Operating Unit. In the context of this document – unless otherwise stated – it is implied that the LOU / LEI Issuer is Ubisecure Oy.

“LOU-Record” is the minimal dataset required by GLEIF to be made unconditionally available to the LEI Issuer, GLEIF and authorised auditors of the LEI Issuer and/or GLEIF to create LEI Codes, LEI-RD records and to maintain business continuity within the GLEIS.

“LE-RD” or “Legal Entity Reference Data” is the key reference information that is connected to the LEI.

“LEI” or “Legal Entity Identifier” is the 20-digit, alphanumeric code that connects to key reference information (LE-RD) that enables clear and unique identification of companies participating in global financial markets.

“Level 2” means data beyond the LE-RD data which helps to identify who owns the Legal Entity from an accounting perspective. If there are no owners then the level 2 data will take the form of exception records described more fully within this page on the GLEIF web site https://www.gleif.org/en/about-lei/common-data-file-format/level-2-data-reporting-exceptions-format

“Master Agreement” is a contractual document between the GLEIF and Ubisecure Oy as the LEI Issuer as amended, varied or updated from time to time. It sets out the rights and obligations of GLEIF and of the LEI Issuer (and all LEI Issuer Affiliates) regarding the LEI Issuer’s participation in the GLEIS, including in particular (but for the avoidance of doubt without limitation) the Accreditation of the LEI Issuer, the issuance of New LEIs and maintenance, renewal and transfer of LEIs, capture and storage of LOU-Record for business continuity, cost contributions, services by GLEIF and by the LEI Issuer, the public availability of LEIs and LE-RD, intellectual property on LEIs and LE-RD, data protection matters, ensuring competition and anti-trust at global and local levels, and the binding rules regarding dispute resolution and court competence.  For the avoidance of doubt, all appendices in force from time to time shall be deemed to be part of the Master Agreement.

“PII” means personally identifiable Information.

“Service” means the Ubisecure RapidLEI Legal Entity Identifier Management System, including any tools, features, functionality and forums through which Feedback may be submitted.

“Service Data” means data and information (a) collected by the Service about your use including information which may be deemed PII under the laws of some jurisdictions; and (b) generated by the Service including, but not limited to, any statistical information related to the usage, traffic patterns and behaviour of the users of the Service.

“Ubisecure Content” or “RapidLEI Content” means user guides, and other documentation, technical and operations manuals and specifications made available by Ubisecure in connection with the Service.
